Terms of Service for JaraHub

Acceptance of the Terms

These Terms of Service (the “Terms”) are a legally binding agreement between JaraHub (referred to as “we”, “us”, “our”) and you, the user. By accessing or using the JaraHub marketplace platform, including our website, mobile applications, and any other associated services (collectively, the “Service” or the “Platform”), you agree to abide by these Terms.

Please read these Terms carefully. If you do not agree with any part of these Terms, or if you are not authorized to be bound by them, you must not access or use the Service. If you are accessing the Service on behalf of a company, organization, or entity, you represent that you have the authority to bind that entity to these Terms.

In addition to these Terms, please review our Privacy Policy, which governs how we collect, use, and protect your personal information. Any supplemental terms, rules, or policies posted on the Platform are incorporated into these Terms by reference. We may update these Terms at any time, with or without notice. You are encouraged to review these Terms periodically to ensure you are aware of any changes.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE MAKE NO GUARANTEES ABOUT THE QUALITY, SAFETY, OR LEGALITY OF THE GOODS OR SERVICES SOLD OR PROVIDED THROUGH THE PLATFORM.

WE DO NOT CONTROL AND CANNOT GUARANTEE THE EXISTENCE, QUALITY, SAFETY, OR LEGALITY OF THE PRODUCTS AND SERVICES POSTED BY USERS ON THE PLATFORM, NOR CAN WE GUARANTEE THE ACCURACY OF ANY INFORMATION PROVIDED BY USERS. YOU ARE RESPONSIBLE FOR VERIFYING THE GOODS AND SERVICES BEFORE MAKING A PURCHASE, AND YOU SHOULD ALWAYS MEET IN SAFE PUBLIC PLACES TO COMPLETE TRANSACTIONS.

Account Registration

To use certain features of the Service, you may need to create an account (the “Account”). You must provide accurate and complete information when registering. By creating an Account, you agree to safeguard the confidentiality of your account information and are fully responsible for any activities conducted under your account.

You are permitted to create only one Account. If we detect duplicate accounts or suspicious activities, we may request verification of your identity to prevent such duplication.

You represent and warrant that you are of legal age to enter into a contract or have the necessary permissions from a legal guardian. If you are a minor, you must have parental or guardian consent to use the Service. We reserve the right to suspend, terminate, or restrict access to your Account without notice in the event of any violation of these Terms, suspicious activities, fraud, or misuse of the Platform.

Service Description

JaraHub is an online marketplace that facilitates connections between buyers, sellers, and service providers. We do not engage in the direct sale, purchase, or provision of goods or services. All transactions are conducted directly between the users of the Platform.

We are not responsible for any goods or services listed by users, nor do we guarantee the completion of any transactions.

Posting of Announcements

Users may post announcements regarding goods or services for sale or exchange on the Platform. You are responsible for providing accurate and truthful information in these announcements, including pricing, descriptions, and availability.

If required, you may be asked to provide documentation verifying the legitimacy of the goods or services you are listing. Failure to comply with this request may result in the removal or suspension of your announcement.

You are also responsible for maintaining accurate contact details and responding promptly to inquiries related to your announcements.

Fees and Payments

The Platform is generally free, but certain features may require payment, such as premium listings or advertising options. The fees for these services are disclosed on the Platform, and we reserve the right to change the fees and payment methods at any time without notice.

Payments for services are processed through third-party payment processors. Unless otherwise stated, fees are non-refundable due to the nature of the online services.

User Representations and Warranties

By using the Service, you represent and warrant that:
- You have the legal capacity to enter into this agreement and comply with these Terms.
- You are at least 18 years of age or have parental consent if you are a minor.
- You will provide accurate, truthful, and complete information when creating and maintaining your Account.
- You will not post illegal, misleading, or harmful content on the Platform.
- You will not infringe upon the intellectual property or other rights of third parties.
- You will comply with all applicable laws and regulations.

Indemnity

You agree to indemnify and hold harmless JaraHub, its affiliates, officers, agents, and employees from any claims, losses, damages, or expenses (including legal fees) arising from:
- Your use of the Platform.
- Your User Content.
- Any violation of these Terms.
- Any unlawful activities or breaches of applicable laws.

Limitation of Liability

In no event shall JaraHub or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service, including, without limitation, damages for lost profits, loss of data, or business interruption.

Our aggregate liability for any claims related to the use of the Platform is limited to the amount you have paid for the service in the six (6) months preceding the claim.

Intellectual Property Rights

The content you submit to JaraHub, including any text, images, or other materials (collectively, "User Content"), remains your property. However, by posting User Content, you grant JaraHub a worldwide, transferable, and irrevocable license to use, display, modify, and distribute that content as necessary for the operation and marketing of the Platform.

All other content, including the platform’s design, logos, and trademarks, are the property of JaraHub or licensed to us and are protected by intellectual property laws. You may not use or reproduce any of our intellectual property without our express consent.

Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Federal Republic of Nigeria. Any disputes arising from or in connection with these Terms shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act (Cap. A18) of Nigeria. The seat of arbitration shall be Lagos, Nigeria, and the proceedings shall be conducted in English.

Miscellaneous Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full effect. We may transfer or assign any of our rights and obligations under these Terms without notice.

Failure to enforce any provision of these Terms shall not be deemed a waiver of our right to do so in the future.
